This GOCO Token Purchase Agreement (this «Agreement») contains the terms and conditions that govern your use of the GOCO distribution smart contracts of the Presale and the Token Sale (the «GOCO Distribution Contracts»); use of the related GOCO token smart contract (the «GOCO Token Contract»); and purchase of related tokens distributed on the Ethereum blockchain (the «GOCO Tokens»); and is an agreement between you and/or the entity that you represent («Buyer» or «You») and Gocoworker («Gocoworker», together with its parent company, subsidiaries and affiliates known as the «Company»). Buyer, Gocoworker and Company are herein referred to individually as «Party» and collectively, as «Parties».
NOW, THEREFORE, in consideration of the mutual representations, warranties and agreements contained in this Agreement, and for other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Company and Buyer hereby agree as follows:
The Buyer acknowledges, understands and agrees to the following:
By buying GOCO Tokens, the Buyer represents and warrants to each of the Gocoworker Parties:
GOCO TOKENS MAY HAVE NO VALUE. THE BUYER MAY LOSE ALL AMOUNTS PAID.
The Buyer has carefully reviewed, acknowledges, understands and assumes the following risks, as well as all other risks associated with the GOCO Tokens (including those not discussed herein), all of which could render the GOCO Tokens worthless or of little value:
Twelve million six hundred thousand (10 710 000) GOCO Tokens will be distributed according to the schedule below:
Number of GOCO Tokens Distributed = A / 0.005
Where:
A = Total ETH contributed by a Buyer
Number of GOCO Tokens Distributed = A x ( B / C )
Where:
A = Total ETH contributed by a Buyer during the period B = Total GOCO Tokens available for distribution in the period C = Total ETH contributed by all Buyers during the period
Unsold GOTO Tokens from the Presale and the Token Sale will be distributed to the Gocoworker Reserve.
